WARRANTS RE-PRICED, OPTIONS GRANTED

VANCOUVER, British Columbia -- March 4, 2009 -- PETRO HORIZON ENERGY
CORP. (TSXV.PHE), announces that the Company is re-pricing outstanding
share purchase warrants related to two previous private placement
financings.
Pursuant to the financing dated May 26, 2008, on a post consolidation
basis, 253,750 warrants expiring on May 27, 2009 are being re-priced
from $1.60 per share to $0.25 per share. In accordance with TSX
Venture Exchange guidelines, the new warrants will have an acceleration
provision requiring that in the event the market price for Petro
Horizon Energy Corp. shares reaches $0.33 per share, warrant holders
shall have thirty days to exercise their warrants or the warrants shall
automatically lapse.
Pursuant to the financing dated December, 27, 2007, on a post
consolidation basis, 340,093 warrants expiring on December 27, 2009,
are being re-priced from $2.40 per share to $0.30 per share. Also in
accordance with TSX Venture Exchange guidelines, the new warrants will
have an acceleration provision requiring that in the event the market
price for Petro Horizon Energy Corp. shares reaches $0.40 per share,
warrant holders shall have thirty days to exercise their warrants or
the warrants shall automatically lapse. The re-pricings are subject to
TSX Venture Exchange and Warrant holder approval.
The Company also announces the granting of 160,000 stock options to
certain consultants and directors and officers of Petro Horizon Energy
Corp. The options shall be exercisable at a price of $0.12 per share
and shall have a term of two years. Furthermore, Petro Horizon Energy
Corp. has amended a total of 177,500 incentive stock options to reduce
the exercise price to 12 cents per share from prices ranging between
$1.36 to $2.80, subject to TSX Venture Exchange acceptance. In
accordance with the requirements of the TSX Venture Exchange, this
amendment is subject to the approval of disinterested shareholders. The
company intends to seek disinterested shareholder approval at its next
annual general meeting scheduled for July, 2009. There have been no
changes to the expiry dates or vesting provisions of the options.
