Goldbrook Announces Non-Brokered Private Placement
 

Vancouver, British Columbia�Goldbrook Ventures Inc. (�Goldbrook� or �Company�) is pleased to announce a non-brokered private placement to issue up to 10,000,000 units (the �Units�) at a price of CDN$0.15per Unit for aggregate gross proceeds of CDN$1,500,000 (the �Offering�).  Each Unit will consist of one common share of the Company and one common share purchase warrant ("Warrant").  Each Warrant will entitle the holder to subscribe for one additional common share for a period of one year from the closing of the Offering at an exercise price of CDN$0.25.
Goldbrook plans to use the proceeds from the private placement for general working capital purposes including corporate overhead and other expenses.  Certain insiders may participate in this non-brokered private placement and a finder�s fee payable in cash and or units may apply with respect to all or part of this private placement in accordance with the policies of the TSX Venture Exchange.
All securities issued pursuant to the private placement will be subject to a four month hold period.
The offering is subject to certain conditions, including but not limited to, receiving all necessary approvals including approval of the TSX Venture Exchange.
