Mr. John Tognetti reports
John Tognetti of 2000, 400 Burrard St., Vancouver, B.C.., has acquired ownership of 2.81 million units of Western Troy Capital Resources Inc., each unit consisting of one common share in the capital of the issurer and one share purchase warrant, each warrant entitling the purchase of one common share in the capital of the issuer at a per share price of 60 cents until Nov. 29, 2012. The common shares acquired represent approximately 9.2% of the Issuer's issued and outstanding common shares. Mr. Tognetti has also acquired exercise of control or direction over 104,300 common shares (0.34%) of the Issuer and warrants entitling the purchase of 125,160 common shares in the capital of the Issuer at a per share price of $0.60 until November 29, 2012, issued as a finder's fee in connection with the private placement offering.
Following this acquisition, Mr. Tognetti owns and exercises control or direction over an aggregate 2,914,300 common shares in the capital of the Issuer, representing 9.5% of the Issuer's issued common shares, and warrants entitling the purchase of an aggregate 2,935,160 common shares in the capital of the Issuer; or, assuming exercise of the warrants, a total of 5,849,460 common shares or 17.5% of the Issuer's issued and outstanding common shares on a post-conversion beneficial ownership basis.
The Units were acquired by cash subscription for investment purposes by Mr. Tognetti pursuant to a non-brokered private placement offering by the Issuer. Mr. Tognetti intends to evaluate these holdings and to increase or decrease the investment as circumstances warrant.
