SHEFFIELD RESOURCES� SHAREHOLDERS APPROVE ACQUISITION BY NEVORO INC.
 
Further to the Company�s New Releases dated April 24, 2008 and June 10, 2008 regarding the announcement of the acquisition of the outstanding shares of Sheffield Resources Ltd. (�Sheffield�) by Nevoro Inc. (�Nevoro�) by corporate arrangement (the �Transaction�), Sheffield is pleased to announce that the Transaction is proceeding, and the closing date is expected to occur on or about July 29, 2008.
On July 25, 2008, at the annual and special general meeting of the shareholders of Sheffield, the shareholders approved the terms of the Transaction by special resolution. On July 28, 2008, counsel for Sheffield will apply to the B.C. Supreme Court for the final order approving the Transaction.
Pursuant to the terms of the Transaction, the shareholders of Sheffield will exchange each outstanding share of Sheffield for 0.80 of one common share of Nevoro. Outstanding convertible securities of Sheffield (including all issued stock options and warrants) will become convertible securities of Nevoro on the basis of the same exchange ratio. For further details of the proposed Transaction, please refer to Sheffield�s News Release dated April 24, 2008, available on SEDAR under Sheffield�s filings at www.sedar.com.
