Under the terms of the amendment, KWG and Spider acknowledge that they
have reached parity and share this project 50:50, and KWG can acquire a
66.67% interest in this project by solely funding a program that matches Spider’s
historical expenditure to date on the project. |

History of the MacFadyen Project |
Sixteen of those kimberlites were discovered in the area by Monopros, the Canadian exploration arm of De Beers Consolidated Mines in 1988-89. The seventeenth other kimberlite was drill identified by a joint venture between Canabrava and Navigator, near one of the more southerly De Beers kimberlitesSpider and KWG discovered their first two kimberlites; MacFadyen #1 and MacFadyen#2 in 1994
