Roxgold Agrees to Terms of Brokered Flow-Through Private Placement

Vancouver, B.C. (October 19, 2007) Roxgold Inc. (TSX.V: ROG) (“Roxgold” or the “Company”) has engaged PI Financial Corp. (“PI”) for a brokered private placement of up to 4 million flow-through units (the FT Units”) at a price of $0.43 per FT Unit for proceeds of up to $1,720,000 (the “Offering”).  Each FT Unit will be comprised of one flow–through common share and one-half of a non-flow-through transferable common share purchase warrant.  Each whole share purchase warrant will entitle the holder to acquire an additional non-flow-through common share at a price of $0.75 per share for a period of two years from the closing date.   

The flow through funds raised from the issuance of the FT Units will be used for general exploration expenditures on the TJ Ridge project, which will constitute Canadian Exploration Expenses (as defined in the Income Tax Act) and will be renounced for the 2007 taxation year.

As consideration for acting as agent, Roxgold has agreed to pay PI a commission of 8% of the gross proceeds, which at PI’s discretion may be either in cash, or in whole or in part, in units of the Company on the same terms as the FT Units of the Offering except that they shall be non-flow-through.  In addition the Company has agreed to issue PI an agent’s options entitling PI to acquire that number of shares equal to 8% of the FT Units placed, at an exercise price of $0.55 per common share for a period of two years.  Closing of the private placement is subject to the approval of the TSX Venture Exchange, and receipt of any required regulatory approvals.
