Colombian Mines Corporation ("the Company") (News - Market indicators) is pleased to announce that it has closed its brokered private placement (the "Offering") announced on February 9, 2011. The Company has sold 9,660,000 units of the Company ("Units") at a price of $0.70 per Unit for gross proceeds of $6,762,000, including Units issued pursuant to the exercise in full of the over-allotment option granted to the agent under the Offering. Each Unit consists of one common share of the Company and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant is exercisable into one common share of the Company for a period of 24 months from closing at an exercise price of C$1.15. All securities issued pursuant to the Offering will be subject to a four month hold period expiring on July 3, 2011.
Canaccord Genuity Corp. (the "Agent") acted as agent of the Company pursuant to the Offering and received a cash commission equal to 6.5% of the gross proceeds of the Offering, a corporate finance fee of 50,000 Units and broker warrants to purchase 627,900 common shares of the Company at a price of $0.70 per share for a period of 24 months from closing.
The net proceeds raised under the Offering will be used for exploration and development of the Company's mineral properties in Colombia and for general working capital purposes.
