METALS CORPORATION ANNOUNCES C$4 MILLION BOUGHT DEAL FINANCING
Amerix Precious Metals
Corporation (APM: TSXV) (“Amerix??? or the “Company???) has today entered into a “bought-deal??? private placement financing agreement
with a syndicate of underwriters led by Canaccord
Genuity Corp. (the “Underwriters???) for an offering of 18,200,000 Units
of the Company (the “Units???) at an issue price of C$0.22 per Unit for gross proceeds to the Company of C$4,004,000 (the “Offering???). Each Unit will be comprised of one common share of the Company
and one half of one common share purchase warrant (each whole warrant, a “Warrant???).? Each Warrant will entitle the holder thereof to subscribe for one
additional common share at an exercise price of C$0.33 at any time prior to
the day that is 30 months from the closing of the Offering.
The Underwriters will also have the option, exercisable in whole or in part
up to 48 hours prior to closing, to purchase up to an additional 4,550,000
Units at the issue price for additional gross proceeds of up to
C$1,001,000.
The net proceeds raised under the Offering will be for the advancement of
the Company???s Limão
project and for general working capital purposes.? The Offering is expected to close on or about
June 22, 2011 and is subject to certain conditions including, but not
limited to, the receipt of all necessary approvals including the approval
of the TSX Venture Exchange. The Common Shares and Warrants comprising the
Units will be subject to resale restrictions for a period of four months
and one day from the closing date under applicable securities legislation.
