Dear Investor:

Wow, what a year!

If you gauged our success based on our stock price, you would be led to believe we accomplished nothing in 2012. This couldn't be further from the truth.

In 2012, we made great strides in the development of the Snow Lake, Manitoba arsenopyrite stockpile remediation project. We also have added a new 19.9% shareholder, Option 3 of London, England, who invested $1.35M in the cause. These funds allowed us to continue the development of Snow Lake.

At present, we are busy identifying a potential partner for the Snow Lake project. In several cases, we have moved to the due diligence stage and we hope to wrap up a new partner early in 2013. We are trying to avoid dilution at the corporate level, i.e., BacTech, so all of the discussions involve selling 50% of our Snow Lake subsidiary in exchange for the equity capital to build the plant. We see this format as one we will continue to use, especially in countries outside of North America. It's just prudent to hitch our wagon to a local company who know the laws, customs and workforce much better than we ever could, and leverage our ability to expand to many different projects. Our specialty is the technology and how to apply it.

In the last quarter of 2012, we were very active pursuing additional opportunities. We visited Bulgaria and met with government officials to discuss some of their pressing environmental issues. We do know there are many sites in need of reclamation in that country. What we won't know, is whether we can offer our "no cost to the taxpayer" approach until we have had a chance to drill and assay the tailings.

Also in the Fall, Lou Nagy, our CFO, and I participated in the Resource Show in Munich, Germany. It was refreshing to see that the Europeans understand what we are doing and they GET IT. Living in an area where the population occupies a relatively large percentage of the land has driven them to develop state of the art technologies for dealing with energy, waste and pollution. We were introduced to numerous projects in that part of the world but, for now, our focus is on Snow Lake.

We have also kept up our pursuit of the Federal Government of Canada who have the responsibility to reclaim the former Giant Mine in Yellowknife. I visited the Giant Mine site in early August and came away even more convinced that bioleaching and the subsequent revenue generated from such a project would be very compelling and profitable. We arrived late to the process, but we are determined to offer the government a much cheaper alternative to the estimated $500M of taxpayer money they have earmarked for the clean up. A back of the envelope calculation leads us to believe there is roughly $1.5B of gold in the tailings that are now slated for a conventional clay capping. This is a Band-Aid solution, does not address the environmental issues at the sites, and is a waste of your and my money.

I would like to take this opportunity to thank all of you who have supported us in the past. We hope that you will continue to do so in 2013. We firmly believe that Snow Lake is the tip of the iceberg and that a successful launch will lead to many more opportunities in the coming years. I would also like to thank the employees of BacTech who have been steadfast in their commitment to ensuring the success of our Company.
