VANCOUVER, BRITISH COLUMBIA--(Marketwired - Sep 17, 2014) - Lowell Copper Ltd. (TSX VENTURE:JDL) ("Lowell Copper" or the "Company") is pleased to announce that 95% of the 4,370,000 warrants (the "Warrants") issued on September 14, 2009 (see news release dated September 17, 2009) have been exercised, raising gross proceeds of $641,700. Pursuant to such exercise, Lowell Copper has issued an aggregate of 2,070,000 common shares (the Company's common shares were consolidated on a two-for-one basis as part of the reverse takeover transaction completed on July 9, 2013 (the "RTO")). Of the common shares issued on the exercise of the Warrants 420,000 of such common shares are subject to the terms of an escrow agreement dated as of July 9, 2013 among the Company, Computershare Investors Services Inc. and certain securityholders in connection with the RTO (see news release dated July 9, 2013). The remaining Warrants have expired.
Annual General Meeting Results
The Company also announces that all shareholder resolutions proposed at the Company's 2014 annual general meeting of shareholders held on September 10, 2014 were duly passed. Specifically the shareholders passed resolutions approving: the consolidated financial statements of the Company for the financial year ended December 31, 2013, together with the reports of the auditors thereon; the re-election of J. David Lowell, Catherine McLeod-Seltzer, David De Witt, Marcel de Groot, Greg Smith and Shannon Shaw as the directors of the Company; the re-appointment of Grant Thornton LLP as the auditors of the Company; the re-approval of the Company's stock option plan and amendments to the articles of the Company to provide for the use of "notice-and-access" by the Company in calling meetings of its shareholders.
