Central GoldTrust Offer Continues to Gain Momentum With Approximately 57% of Unitholders Tendering

TORONTO, Nov. 2, 2015 (GLOBE NEWSWIRE) -- Sprott Asset Management LP ('Sprott' or 'Sprott Asset Management'), together with Sprott Physical Gold Trust (NYSE:PHYS) (TSX:PHY.U) and Sprott Physical Silver Trust (NYSE:PSLV) (TSX:PHS.U), today announced that it has filed notices of extension in connection with the offers by Sprott Asset Management Gold Bid LP ('Gold Bid LP') and Sprott Asset Management Silver Bid LP ('Silver Bid LP') to acquire all of the outstanding units of Central GoldTrust ('GTU') (TSX: GTU.UN, GTU.U) (NYSEMKT:GTU) and Silver Bullion Trust ('SBT') (TSX: SBT.UN, SBT.U), respectively, for units of Sprott Physical Gold Trust and units of Sprott Physical Silver Trust, in each case on a net asset value ('NAV') to NAV exchange basis, as well as an additional premium of US$0.10 per GTU unit payable in units of Sprott Physical Gold Trust, in the case of Gold Bid LP's offer, and US$0.025 per SBT unit payable in units of Sprott Physical Silver Trust, in the case of Silver Bid LP's offer (collectively, the 'Sprott offers'). The notices of extension extend the expiry time of the Sprott offers to 5:00 p.m. (Toronto time) on November 20, 2015.
The Sprott offers remain open for acceptance and will be immediately acted on where their conditions are satisfied or waived, including 66 2/3% support. Concurrent with Sprott's effort to complete the offers through the tender process, Sprott now intends to take the necessary steps to cause special meetings of unitholders to be convened and held as soon as possible to bring this situation to an expedited close. Sprott is further positioning itself to replace the conflicted and entrenched Trustees of GTU and SBT should this be necessary to ensure these meetings proceed in the near term in a fair and even handed manner so that the views of GTU and SBT unitholders can be heard and acted upon. Details regarding these further steps will be provided shortly.

Without Sprott, GTU's discount may significantly widen as evidenced by its historical underperformance during the past 2.5 years. For example, discounts to NAV at GTU and SBT have previously reached as much as approximately 12% and 14%, respectively, and unitholders can also look to the Spicer-administered Central Fund of Canada, which is currently and consistently trading at an approximate 10% discount to NAV.'
Added Wilson, 'However, as unitholder support increases, so too do the efforts of the GTU and SBT Trustees to undermine the will of their own unitholders. Notwithstanding that glaring issues of independence and a network of questionable payments by the Spicers to Trustees have been exposed, those Trustees continue to work diligently to misinform, confuse and manipulate their own unitholders in an attempt to impede the Sprott offers. These efforts, however, will ultimately prove futile. Never before have GTU unitholders come together in overwhelming numbers and demanded such change and Sprott is now extending and taking other steps because it is not prepared to abandon those unitholders and allow the Spicers and other conflicted Trustees to continue to use GTU and SBT for their own personal gain to the detriment of unitholders.'
As of 5:00 p.m. (Toronto time) on October 30, 2015, there were 10,978,604 GTU units (56.89% of all outstanding units) and 2,167,395 SBT units (39.64% of all outstanding units) tendered into the respective Sprott offers.

Additional Details of the Sprott Offers
Each Sprott offer is subject to conditions, including, but not limited to, the number of GTU or SBT units (as applicable) in respect of which an Exchange Offer Election or Merger Election (as such terms are defined in the Sprott offers) has been made, together with the number of GTU or SBT units (as applicable) held as of the Expiry Time (as such term is defined in the Sprott offers) by or on behalf of Sprott, if any, representing at least 66 2/3% of the then issued and outstanding GTU or SBT units (as applicable); the receipt of all necessary governmental or regulatory approvals; no material adverse change in relation to GTU or SBT; GTU, SBT and the Sprott Physical Gold Trust and Sprott Physical Silver Trust (together with Sprott Physical Gold Trust, the 'Sprott Physical Trusts') not being prohibited by applicable law from completing the Merger Transactions (as such term is defined in the Sprott offers); and no litigation or regulatory order that may jeopardize the Sprott offers, as described in the Offer Documents (as defined below).

Concurrently with each of the Sprott offers and as contemplated under the declaration of trust of each of GTU and SBT, written consents, by way of a power of attorney granted to Sprott, requiring the approval of the holders of at least 66 2/3% of the GTU units and of the SBT units, respectively, are being solicited as part of the letter of transmittal to, among other things, authorize a qualifying exchange as part of the relevant Merger Transaction with Sprott Physical Gold Trust and Sprott Physical Silver Trust, respectively; replace the trustees of GTU and SBT (other than administrator nominees), respectively, with nominees to be designated by Sprott; and amend the declaration of trust of each of GTU and SBT to provide that GTU and SBT units shall be redeemable on demand at NAV and to reduce the tender required for a compulsory acquisition to 66 2/3%.
