DISPOSAL OF REMAINING SHARES IN NOBLE AGRI LIMITED

Noble Group Limited (the "Company�) wishes to announce that the share sale agreement for the disposal of its remaining interest in Noble Agri has become wholly unconditional. The disposal will complete on Thursday 3 March 2016 when the Company will receive the closing amount of US$750 million.
