PONTON REPORTED MINERAL RESOURCES AND EXPLORATION TARGETS

We refer to Manhattan Corporation Limited's ("Manhattan") two Australasian Securities Exchange ("ASX") announcements on 4 April 2016 being an offer to Manhattan's shareholders to participate in a Share Purchase Plan and the appointment of Mr William (Chub) Witham as Chief Operating Officer ("ASX Announcements").

The ASX Announcements included reference to reported JORC mineral resources and exploration targets of 50to over 80Mlb of uranium oxide ("U3 O8 ")for our Ponton uranium project in WA.

Any reference to mineral resources and exploration targets should be read in conjunction with Manhattan's Exploration Results and Mineral Resource Statements for its Ponton uranium project as released to ASX on 11 March 2011 and 7 February 2014.

On 11 March 2011 Manhattan reported to ASX and inferred mineral resource for the Double 8 deposit at Ponton of 17.2 million pounds ("Mlbs") of U3 O8 at a 200ppm cutoff. This information was prepared and first disclosed under JORC Code 2004. It has not been updated since to comply with the JORC Code 2012 on the basis that the information has not materially changed since it was last reported.

On 7 February 2014 Manhattan reported exploration results at Ponton for four wide spaced drilled explorationtargets with tonnage ranges of 4 to 45 million tonnes, grade ranges of 250 to 450ppm U3O8 totalling33 to 67Mlb U3O8 atthe 200ppm cutoff. In accordance with clause 17 of the JORC Code 2012 the potential quantity and grade reported as exploration targets and referred to in our ASX Announcements must be considered conceptual in nature as there has been insufficient exploration and drilling to define a mineral resource and it is uncertain if further exploration and drilling will result in the determination of a mineral resource.

Manhattan confirms it is not aware of any new information or data that materially affects the information included in the two relevant market announcements of reported mineral resources and exploration targets at Ponton and that all material assumptions and technical parameters underpinning the estimates in the relevant market announcements continue to apply and have not materially changed.
