Andr?
Caill?, former president of Hydro-Quebec and Gaz M?tropolitain,
will be joining Junex?s team as Senior Strategic
Consultant.
?The
arrival of Mr. Caill? as strategic consultant represents a significant enforcement of Junex?s management team. The province of Quebec is currently bubbling with
agitation as far as the oil and gas exploration is concerned and Junex is in the
heart of all these developments. The addition of a strategic consultant with
experience such as Mr. Caill?s will, undoubtedly, enable us to better plan the
next phase of our company?s growth strategy in order to maximize the
shareholders value, notably in regards to the 900,000 net acres of land we hold
in the St. Lawrence Lowlands? has declared the president of Junex Mr.
Jean-Yves
Lavoie, P. Eng.
Mr.
Caill? will receive no monetary income for his work with the company?s
management but Junex?s Board has granted him a total of 600,000 stock
options. A total of 75,000 stock
options will vest at the date of this press release on his contract while the
other 525,000 stock options will gradually vest in the course of the next three
years in conformity with the Stock Option Plan of the company. These stock options are granted at a
price of $1.68 and are valid for a maximum period of 10 years conditional to the
fact that Mr. Caill? remains at the position of Senior Strategic Consultant for
the company during all those years.
The initial contract is for a three-year period and is renewable at the
satisfaction of both parties.
Biography of Mr.
Caill?
Mr.
Caill? was Chairman of the World Energy Council from September 2004 to November
2007. He held the position of
Chairman of the Board of Hydro-Qu?bec from April to September 2005. Prior to
this appointment, he was President and Chief Executive Officer of the
Corporation for a period of 9 years starting in October 1996. Moreover, for more than 14 years he has
occupied several other strategic management positions within Gaz M?tropolitain
such as president and CEO between 1987 and 1996. He was also appointed Quebec?s Deputy Minister
of the Environment from 1978 to 1981.
In
May 1998, Mr. Caill? was inducted into the Order of Merit of the Association des
Dipl?m?s de l?Universit? de Montr?al, in recognition of his efforts in enhancing
the university?s influence and promoting social development. In July 2000, the
Institut national de la recherche scientifique (INRS) awarded him an honorary
doctorate to underscore his role in the development of Qu?bec society. In
November 2000, the Clinical Research Institute of Montr?al conferred its Medal
of Merit for his support of scientific research, health and
education.
In
November 2001, the Institut d?administration publique du Qu?bec awarded Mr.
Caill? the Pierre-De Celles Prize in recognition of his excellence as a manager.
In April 2002, the Academy of Great
Montrealers welcomed Mr. Caill?, citing his
exceptional contribution to the prestige and reputation of Greater Montr?al. In
May 2002, the University of Montr?al awarded him an honorary doctorate
to underscore his career in the energy and environment fields, in the public as
well as in the private sector. In May 2004, the Royal Military College of Canada
awarded him an honorary doctorate in
engineering.
In
June 2004, he was decorated a Knight of the French Legion of Honor by the
President of France, receiving the medal in March 2005. This prestigious distinction was awarded in recognition of his commitment to developing and
strengthening ties, especially economic ties, between France and
Qu?bec.
